SOFTWARE LICENSE AGREEMENT TERMS AND CONDITIONS

READ CAREFULLY: This is a legal agreement ("Agreement") between you ("Licensee") and META Inc.
("META"). Upon installing, copying or otherwise using this version of diskMETA ("Software") Licensee accepts to be bound to the terms and conditions of this Agreement. If Licensee does not accept the terms and conditions found in the Agreement, Licensee has to uninstall and to not use this Software.

GRANT OF RIGHTS: META grants Licensee a non-exclusive and non-transferable license to use and display the Software for its internal purposes only. Licensee must use the Software on a single computer only.

PAYMENT OF LICENSE FEES: Licensee is not entitled to use the Software until the applicable license fees (plus any other applicable taxes) have been paid in full to META without deduction, set-off, counterclaim or withholding, unless the Software is a trial version, in which case the conditions outlined in the section "TRIAL OR EVALUATION USE", detailed below, apply.

TRIAL OR EVALUATION USE: If Licensee uses this Software on a no-cost, limited-time (up to 30 days) evaluation basis, then the only right granted to Licensee under this Agreement is the right to access the Software for the evaluation and trial purposes only (i.e. no license is granted). META provides no Support or Upgrades for trial versions of the Software. The provisions in this paragraph govern this Agreement to the extent that they are inconsistent with provisions in other parts of this Agreement. All other terms of this Agreement are unmodified by this paragraph. If Licensee purchases a license to this Software, then this section shall be of no further force or effect.

RESTRICTIONS: Licensee may not copy, modify, adapt, translate, rent, lease, loan, encumber, resell, distribute, sub-license, time-share, transfer or create derivative works based upon or similar to the Software.
Licensee may not decompile, reverse engineer, disassemble, or otherwise reduce the Software to a human perceivable form.

TERMINATION: The license granted under this Agreement is effective from the date of the Software installation and continues for the whole period of the software usage, provided however, that META may immediately terminate this Agreement, if Licensee has used the Software otherwise than in accordance with this Agreement or Licensee fails to pay any fees when due.
Termination shall not relieve Licensee from its obligation to pay the fees that remain unpaid, and shall not limit either party from pursuing any other available remedies. Upon termination by META of this Agreement, META shall have no obligation to refund to Licensee any fees paid by Licensee, and Licensee agrees to waive, in perpetuity and unconditionally, any and all claims for refunds.
If the license is revoked, Licensee must immediately uninstall and destroy all copies of the revoked Software.

LIMITATIONS ON WARRANTY AND LIABILITY: This Software is provided "as-is" without any warranty, either implied or expressed. META does not and cannot warrant the performance or results Licensee may obtain by using the Software.
In no event shall META be held liable for any data loss, profits loss, opportunities loss, misconfiguration or any other incidental or consequential damages arising out of the use of or inability to use the Software.

SUPPORT: META agrees to provide technical support via email to the Software users within two (2) working days.

UPGRADES: Subject to third-party supplier restrictions and charges, META agrees to make available to Licensee, upon request, any maintenance releases or upgrades of the Software for a period of one (1) year from the Date of this Agreement (the day that Licensee first installs or receives (whichever comes first) the software).
